1. Introduction
Welcome to TakeVox (referred to as "the App", "we", or "us"). These Terms of Service ("Terms") form an agreement between you and us governing your use of the TakeVox desktop application and related services (collectively, the "Service"). Please read these Terms and the Privacy Policy carefully before installing, registering for, or using the Service.
By clicking "Agree", installing, logging in, or starting to use the Service in any way, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree to any part of these Terms, do not install or use the Service, and exit the current flow.
The App may be offered to users both inside and outside the People's Republic of China. If the laws of your country or region impose different mandatory requirements on any part of these Terms, those requirements prevail to the extent they are mandatory.
2. Description of the Service
TakeVox is a voice dictation and meeting-recording application whose main features include:
1. Voice dictation and transcription: converting your speech to text, with optional polishing and translation;
2. Clipboard management: recording content you copy, with search, paste, and favorites;
3. Meeting recording: capturing meeting audio, with transcription, speaker diarization, meeting minutes, and action items;
4. Cloud transcription (enabled separately): with your authorization, uploading meeting audio to third-party cloud services for transcription;
5. Subscription service (Pro): remote AI backends, an upgraded clipboard, cloud sync, and other value-added features.
Basic capabilities such as local dictation and local-model polishing/translation run entirely on your device and do not depend on a network connection or an account. We reserve the right to adjust, add, or discontinue features in line with our product roadmap; changes will be announced within the App.
3. Accounts and Subscriptions
1. Your "subscription key" is the credential that grants access to Pro benefits. You must keep it secure and must not disclose, lend, or share it; losses arising from your failure to safeguard it are your responsibility.
2. Pro is available through the following channels: App Store (auto-renewing subscription) on macOS, and PayPal, WeChat Pay, or Alipay (QR-code payment) on Windows/Linux. Pricing and billing periods are as shown on the subscription page at the time of purchase.
3. Auto-renewing subscriptions are governed by the App Store's subscription rules; you may cancel auto-renewal at any time in your system settings. Subscriptions obtained through other channels revert to the free plan when they expire without renewal.
4. Invite codes are one-time redemption credentials usable only to redeem a fixed duration of Pro benefits. Redeemed, expired, or revoked codes cannot be restored.
5. To the extent permitted by law, we may impose reasonable limits on the issuance and use of subscription keys to protect the Service against abuse.
4. User Content and License
1. You retain full rights and responsibility for the content you create, upload, or process through the Service (including but not limited to voice recordings, transcripts, clipboard content, and meeting records; collectively, "Your Content").
2. To enable the Service to operate, you grant us a non-exclusive, revocable license, limited to what is necessary to provide the Service, to process Your Content. We process your data only to the extent required to deliver the features described, and do not use Your Content for advertising or any purpose unrelated to providing the Service.
3. If you send meeting minutes or other content to a third-party address via a webhook that you configure yourself, the transmission and storage of that content are the responsibility of that third party; please assess the risks yourself.
4. You represent and warrant that Your Content does not infringe any third-party rights and does not contain content that violates applicable law.
5. Acceptable Use
You agree to use the Service in compliance with applicable law and these Terms, and not to:
1. engage in any illegal activity or infringe the lawful rights of any third party through the Service;
2. upload or process voice or text that contains content violating laws or regulations (including, but not limited to, content endangering national security, pornographic, violent, or infringing on others' privacy);
3. reverse engineer, decompile, crack, or otherwise circumvent the App's authorization or security mechanisms;
4. maliciously interfere with or attack the Service or its related servers or third-party services;
5. resell or misuse subscription keys.
6. Third-Party Services
1. The Service may integrate or call upon third-party services, including but not limited to: conversational model services such as OpenAI and Anthropic Claude; cloud computing and transcription services such as Alibaba Cloud (OSS, DashScope); and payment services such as Apple, PayPal, WeChat Pay, and Alipay.
2. When you use "bring your own API key" mode, you provide API credentials to the relevant provider and enter into a direct contractual relationship with it. The terms, privacy policies, and quality of such third-party services are the responsibility of the corresponding providers, and we are not liable for them.
3. The availability, accuracy, and stability of the third-party services on which cloud transcription relies (such as OSS and DashScope) depend on those providers; we make no warranties in this regard.
4. Any interaction with third parties through the Service (such as webhooks and downloads) is governed by the capabilities and policies of those third parties.
7. Intellectual Property
1. The intellectual property in the App and its software, interfaces, logos, documentation, and underlying model files belongs to us or the respective right holders.
2. These Terms do not grant you any right to use the above intellectual property, except as otherwise provided by applicable law.
3. You retain all rights in Your Content; nothing in these Terms constitutes a transfer or waiver of your rights in Your Content.
8. Privacy
We take your privacy seriously. How we process your data is described in the Privacy Policy, which forms part of these Terms. Please read it carefully before using the Service.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted or error-free, and we make no express or implied warranties regarding the accuracy of transcription and recognition results, the quality of local or cloud model output, or the availability and accuracy of third-party services. You assume the risk of using the Service, including making decisions based on transcripts and AI-generated content.
10. Limitation of Liability
To the maximum extent permitted by applicable law, neither we nor our affiliates or licensors shall be liable for any loss you suffer arising out of your use of, or inability to use, the Service or Your Content (including but not limited to direct, indirect, incidental, or consequential damages, loss of profits, loss of data, or loss of goodwill), whether grounded in contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of implied warranties or consequential liability, so the above limitations may not apply to you in full.
11. Indemnification
If a third party makes a claim or demand against us arising out of your breach of these Terms, your violation of applicable law, or your infringement of a third party's rights, you agree to indemnify and hold harmless us and our affiliates, officers, and employees from any resulting losses, costs (including reasonable attorneys' fees), and liabilities.
12. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be shown within the App and will apply to you from the stated effective date. If you continue to use the Service after that date, you are deemed to accept the updated Terms; material changes will be highlighted to you more prominently.
13. Termination of the Service
1. You may stop using the Service and delete the App and its local data at any time.
2. If you materially breach these Terms or applicable law, we may suspend or terminate your access to the Service.
3. Upon termination, provisions of these Terms that by their nature should survive (including but not limited to Sections 7, 8, 9, 10, 11, 14, 15, and 16) remain in effect.
14. Refund Policy
1. Subscriptions on macOS are purchased through the App Store; refunds are governed by Apple's terms and policies.
2. Payments made on Windows/Linux through PayPal, WeChat Pay, Alipay, or similar channels are subject to the refund rules of the applicable payment channel and consumer-protection law.
3. Except where required by law or a payment channel, we generally do not refund subscription fees for services already provided; please confirm the refund policy of the relevant channel before subscribing.
15. Governing Law and Dispute Resolution
1. These Terms and their formation, validity, interpretation, performance, and dispute resolution are governed by the laws of the People's Republic of China.
2. Any dispute arising out of these Terms shall first be resolved through friendly negotiation; if negotiation fails, either party may submit the dispute to the competent people's court at our place of business.
3. If the law of your jurisdiction contains other mandatory provisions, those provisions prevail.
